Legal Counsel Fin.Solutions,Corp.Fin.&Priv. Eqty
You assess the legal risks and dangers for the bank's reputation. You draw up the directives and legal documents that structure the business activities and ensure follow-up.

Your core tasks:

- You provide legal support to the different departments during negotiations.

- You draft and assess documents such as:

confidentiality agreements
memoranda on the structure of transactions;
mandate letters and letters of commitment;
term sheets (letters of intent).
-You select external lawyers and maintain contact with them.

- You are in charge of credit documents (mezzanine financing) and all related documents (securities, inter-creditor agreements, legal opinions).

- You negotiate and assess sales of shares and/or assets.

- You negotiate with shareholders.

- You negotiate and assess corporate mergers, splits or liquidations.

- You negotiate and assess capital increases.

- You negotiate cooperation agreements with third parties.

- You carry out legal due diligence.

- You interact daily with internal clients and external advisers. You interact regularly with members of the bank's Management Committee and Board of Directors.

In short: your responsibilities represent a unique combination of transaction-related and advisory functions in a dynamic context.


As legal counsel, you are stress-resistant and assertive. You are able to work independently. You involve fellow in-house counsel wherever possible in the activities of the Legal and Legal CIB departments so that they can benefit from your expertise.

 Knowledge and experience required

You have a master's degree in law, with a specialisation in corporate law.
You are French-speaking or Dutch-speaking and are fluent in speaking and writing in both of the national languages, as well as English.
You have at least three years' experience in corporate law and preferably have already worked in M&A.
Knowledge of or experience in the banking sector or financial law would be an asset.

You have an analytical mind and handle legal matters independently.
You are a team player

You enjoy sharing your expertise.
You show common sense and empathy and understand your clients' needs.
You are constantly on the alert for legal risks.
